VGDS Global LLP – Data Processing Agreement (DPA)

This Data Processing Agreement is entered into as an addendum to the Terms and Conditions Agreement by and between:

VGDS Global LLP

I. PURPOSE

This Addendum outlines the obligations of the Processor (VGDS Global LLP) in relation to the handling, processing, and protection of personal and confidential data received from the Client (Controller) for the execution of the agreed services.

II. SCOPE OF DATA PROCESSING

VGDS Global may process personal data solely for the purposes of executing the Client’s project. Data includes, but is not limited to:

- Client documents.

- Contact details.

- Any sensitive or identifiable information provided during the service period.

VGDS Global may process personal data solely for the purposes of executing the Client’s project. Data includes, but is not limited to:

VGDS Global shall

- Process data only on documented instructions from the Client.

- Not use the data for any purpose other than project completion.

III. CONFIDENTIALITY AND SECURITY

VGDS Global agrees to:

- Ensure all staff and authorized personnel are bound by confidentiality agreements.

- Implement appropriate technical and organizational measures to safeguard data.

- Not share Client data with any unauthorized third party or internal team.

IV. DATA DELETION

At the end of the service contract:

- All data provided by the Client will be permanently deleted from VGDS Global’s systems upon request or within the defined 30-day post-project retention period..

V. SUB-PROCESSORS

VGDS Global shall not engage any third-party sub-processors without the prior written consent of the Client. Any approved sub-processors shall be bound by similar confidentiality and data protection obligations.

VI. AUDIT RIGHTS

Upon request, VGDS Global shall provide evidence of compliance with this DPA and cooperate with any Client-initiated audits or inquiries, subject to reasonable notice and scope.

VII. GOVERNING LAW

This Addendum shall be governed by the laws of the Republic of India. Any dispute shall be submitted to the jurisdiction of the courts located in Ernakulam, Kerala, India.
