VGDS Global LLP – Terms and Conditions

This Agreement is entered into by and between:

Service Provider:

VGDS Global LLP, having its principal place of business at 8/135, Nellickal, Pothanikkad, Koovalloor P.O, Ernakulam, Kerala 686671 ("VGDS Global")

Client:

Any individual or entity engaging VGDS Global LLP for design, consultancy, or related services ("Client")

Collectively referred to as the “Parties”.

I. PURPOSE

The purpose of this Terms and Conditions Agreement (“Agreement”) is to define the conditions under which VGDS Global LLP shall access, use, process, and dispose of the Client’s data, materials, and intellectual property during and after the completion of the contracted services.

II. USE OF CLIENT ASSETS

The Client agrees to provide VGDS Global with necessary materials, including but not limited to: logos, images, documents, text content, brand guidelines, or any proprietary files (hereinafter referred to as “Assets”) required for the execution of the project.

VGDS Global agrees to:

- Use such Assets strictly and solely for the purpose of delivering the Client’s project.

- Not disclose, publish, distribute, or exploit such Assets outside the agreed project scope without prior written consent from the Client.

III. DATA STORAGE AND CONFIDENTIALITY

VGDS Global agrees to:

- Maintain strict confidentiality with respect to all Client-provided information and project-related content.

- Store each Client’s data in a segregated and secure manner ensuring that no unauthorized personnel shall access it.

- Refrain from viewing, reusing, or sharing any Client data or materials across multiple Client accounts or projects.

IV. DELETION OF CLIENT DATA

Upon conclusion of the project cycle and final delivery:

- VGDS Global shall retain the Client’s data for a period not exceeding 30 calendar days, unless otherwise agreed in writing.

- Thereafter, all Assets, project files, and related content will be permanently deleted from VGDS Global’s systems, backups, and physical storage.

V. LIABILITY

VGDS Global shall not be held liable for any loss or damage resulting from the misuse of Client data if such misuse arises from the Client’s own actions or third-party breach not attributable to VGDS Global.

VI. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, and any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Kerala, India.
